China LotSynergy Limited (“CLSL”), a wholly-owned subsidiary of China LotSynergy, acquires the remaining 67% equity interest in stake of Tabcorp International Hong Kong Limited (””TIHK”) from Tabcorp International No.1 Pty Limited, a wholly- owned subsidiary of Tabcorp Holdings Limited, for a consideration of AU$15 million (equivalent to approximately around US$13 million) (the “Acquisition”). After the Acquisition, China LotSynergy owns 100% equity interest of TIHK. Immediately after with the Acquisition, GTECH Corporation (“GTECH”) through its subsidiary, Global Services Corporation Ltd., (“GTECH”), a wholly- owned subsidiary of Lottomatica,,S.P.A., acquiresd 50% equity intereststake in TIHK from CLSLChina LotSynergy for a consideration of US$20 million (the “Disposal”). After completion of the Disposal, the joint venture with GTECH was formed, under which TIHK is was owned 50-50 as to 50% by CLSL China LotSynergy and as to 50% by GTECH (“the Joint Venture”), and. TIHK will be renamed to CLS-GTECH Company Limited (集太華彩有限公司).

  CLS completed the acquisition of Champ Mark Investments Limited and its subsidiaries (the “CMIL Group”). 廣州市三環永新科技有限公司 (Guangzhou San Huan Yong Xin Technology Company Limited*) (“GZSH”) and 廣州洛圖終端技術有限公司 (Guangzhou Lottnal Terminal Technology Company Limited*) (“GZL”), subsidiaries of the CMIL Group, are principally engaged in the research and development, manufacture, supply and maintenance of traditional computer lottery systems and terminals in the PRC. Through the transaction, CLS further expanded its business beyond VLT and KENO lottery to include traditional computer lottery business.

  CLS and International Game Technology (NYSE:IGT), the global leading gaming enterprise in the industry, entered into a subscription agreement and a technical cooperation agreement, under which a strategic alliance was formed. Pursuant to the agreement, IGT subscribed for new shares and convertible notes of CLS. Through this strategic alliance, CLS Group is able to access the advanced gaming technology and systems of IGT for its business expansion in the lottery market in China.

  April 2006
  CLS completed the acquisition of 50% interest in Corich Group and became the majority in the board of directors of Corich. Dongguan Tianyi Electronics Company Limited, a wholly-owned subsidiary of Corich, exclusively supplies VLT equipment to CLO under a long-term contract.

  CLS discontinued and dissolved its metal trading business to focus on lottery-related business

  TIHK entered into a technical cooperation agreement with Beijing Lottery Online Technology Co., Ltd (“CLO”) and Tabcorp International Pty Limited to assist CLO to build and develop the first nationwide unified platform for lottery operation in the PRC, including the provision of terminals, software, central system, related training and marketing and other technical support.

  China LotSynergy Limited, a wholly-owned subsidiary of CLS, and Tabcorp International Pty Limited, a wholly-owned subsidiary of Tabcorp Group which is a well-known lottery and entertainment group in Australia, entered into a joint venture shareholders’ agreement for the formation of a joint venture, Tabcorp International Hong Kong Limited (“TIHK”).

  CLS (formerly known as WorldMetal Holdings Limited) was listed on the Growth Enterprise Market of the Hong Kong Stock Exchange (stock code: 8161) on 26 October 2001 . It was originally engaged in the provision of online metal trading platforms, related value-added services and application software development services, including the development of application software for lottery business.
